Energy360 Terms of Sale (Prototype / Development Circuit Boards)

Seller: Hancock Holdings Inc. (doing business as Energy360, advertised at energy360.ca) (“Seller”, “we”, “us”)

Products: Printed circuit boards and related parts including: Main Board, Power Supply Interface Board, and Pot Board, sold in one or more assembly states (fully assembled, partially assembled, or bare/blank PCB) (“Products”).


1) Agreement and acceptance

These Terms apply to every sale. By paying a invoice, placing an order, or using any Product, you confirm you have read and agree to these Terms and any linked safety/specification documents (together, the “Agreement”). The version in effect on the invoice date applies to that purchase.

2) Prototype / development-only product

Products are sold as prototype/development electronic components intended for knowledgeable users (typical use: motion simulator builders). Products may contain bugs, design changes, and behaviors common to prototypes. Unless explicitly stated in writing by Seller, Products are not certified/approved to CSA/UL/CE/FCC/ISED or any other safety/EMC standard.

3) Electrical limits and mandatory protection

Buyer is solely responsible for safe wiring practices including wire gauge, insulation, strain relief, secure mounting, proper torque on terminal connections, and avoiding overheating of connectors/terminals.

4) Enclosure, mounting, and fire risk (required)

Buyer acknowledges that incorrect wiring, insufficient protection, inadequate enclosures, poor ventilation, loose connections, or misuse can cause equipment damage, overheating, smoke, or fire.

Installation requirement: Products must be installed securely inside a suitable enclosure that prevents accidental contact with energized conductors and reduces fire risk. Seller recommends a metal enclosure (properly bonded/grounded where applicable) or another enclosure with comparable heat resistance and mechanical protection.

Buyer is responsible for enclosure selection, mounting, strain relief, thermal management/ventilation, and verifying safe operation in Buyer’s specific system.

5) No support implied; documents provided “as-is”

Seller may provide assembly instructions or “how-to” documents. Any documentation, examples, or guidance are provided for convenience only and “as-is,” without any promise of support, troubleshooting, updates, fitness, or completeness. Buyer is responsible for verifying correctness and safety for their build.

6) Assembly state acknowledgment (fully/partial/bare)

Buyer acknowledges Products may be delivered:

Where Buyer performs any soldering, assembly, modification, rework, wiring, firmware changes, or component substitution, Buyer assumes full responsibility for resulting performance and safety.

7) Prohibited / high-risk uses

Products are not intended for and must not be used in life-safety, medical/patient-connected systems, aviation, nuclear, automotive safety systems, or other safety-critical applications, or any situation where failure could reasonably be expected to cause personal injury or significant property damage.

8) Limited warranty — DOA only (exclusive remedy)

Seller will replace or refund Products that are dead on arrival (DOA) if Buyer notifies Seller within 14 days of delivery and provides photos reasonably sufficient to show the condition of the Product and the issue, along with the invoice/order number and a brief description. Seller may require return of the Product for evaluation.

DOA eligibility requires the Product be unmodified and properly handled. DOA coverage is void if the Product has been assembled, soldered, reworked, modified, repaired, wired, flashed/programmed, conformal-coated, or otherwise altered by Buyer or any third party, or shows evidence of misuse, overcurrent, improper fusing, reverse polarity, or improper installation.

This DOA remedy is Buyer’s exclusive warranty and exclusive remedy.

8A) No returns/refunds after Buyer modification or assembly

Except for eligible DOA claims under Section 8, all sales are final. No refunds or returns are available once Buyer (or any third party) has performed any assembly, soldering, modification, rework, repair, wiring changes, component substitution, firmware flashing/programming, or other alteration.

9) Disclaimer of warranties (beyond DOA)

Except for the DOA remedy in Section 8, Products are provided “as is” and “with all faults.” To the maximum extent permitted by law, Seller disclaims all other warranties or conditions, express or implied, including merchantability, durability, fitness for a particular purpose, and non-infringement.

10) Limitation of liability

To the maximum extent permitted by law:

This limitation applies to any theory of liability including contract, tort, negligence, strict liability, misrepresentation, or otherwise, to the maximum extent permitted by law, and applies even if any remedy is found to have failed of its essential purpose.

11) Assumption of risk

Buyer assumes all risks arising from selection, installation, integration, use, storage, handling, and any modifications to the Products, including risks of overheating, smoke, or fire resulting from wiring, enclosure/environmental factors, or misuse.

12) Integrator indemnity (moves risk to the builder)

If Buyer integrates the Products into any system or product, Buyer agrees to defend, indemnify, and hold harmless Seller from claims, damages, losses, and expenses arising from Buyer’s integration, installation, instructions, marketing, or end use—except to the extent caused by Seller’s proven gross negligence or willful misconduct.

13) Buyer eligibility and competence

Buyer represents they are at least 18 years old and competent to work safely with high-current 12V DC electrical systems, including correct fusing, wiring, and enclosure practices.

14) Incident reporting and traceability

Buyer agrees to promptly notify Seller of any safety-related incident, overheating event, smoke, fire, or near-miss involving the Products and to provide reasonable details (photos, circumstances, and affected Product identifiers such as serial/batch ID) to support traceability, safety investigation, and any legally required reporting or corrective actions.

15) Pricing, taxes, export, and worldwide shipping

Prices are as invoiced. Buyer is responsible for applicable taxes, duties, brokerage fees, import charges, and local compliance requirements unless Seller explicitly states otherwise. Buyer is responsible for ensuring Products may be legally imported/used in Buyer’s jurisdiction.

16) Shipping; risk of loss

Shipping dates are estimates. Title and risk of loss transfer to Buyer when Seller ships the Products (i.e., when handed to the carrier), to the maximum extent permitted by law.

17) Returns / RMA

No returns without an RMA from Seller. Buyer is responsible for return shipping unless the return is approved under the DOA policy. If a returned Product is functional or shows damage consistent with misuse, improper assembly, overcurrent/overvoltage, or improper installation, Seller may deny the claim and return the Product at Buyer’s expense.

18) Entire agreement; no reliance

This Agreement is the entire agreement between Buyer and Seller regarding the Products and supersedes prior discussions or messages. Buyer confirms they are not relying on any statement outside this Agreement.

19) Governing law

This Agreement is governed by the laws of British Columbia and the federal laws of Canada applicable therein. Any disputes will be brought in the courts located in British Columbia.

20) Legal limitations

Nothing in this Agreement excludes or limits liability that cannot be excluded under applicable law.
